Terms of Service

These Terms of Service ("Terms") govern your use of Nova (the "App") and any related websites, services, or features provided by Lightmode ("Lightmode", "we", "our", or "us"). By downloading, installing, or using Nova, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to use Nova. If you are using Nova on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The App and Plans

Nova is a macOS productivity app that provides a grid-based canvas for organizing notes and ideas. The App may be offered in multiple tiers, including a free tier ("Nova") and a paid tier ("Nova X"). Features may change over time.

3. License and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your personal or internal use.

You agree not to:

• Copy, modify, or create derivative works of the App except where permitted by law
• Reverse engineer, decompile, or disassemble the App, except to the extent such restriction is prohibited by applicable law
• Rent, lease, sublicense, resell, or distribute the App to third parties
• Remove or obscure any proprietary notices
• Use the App in a way that interferes with or disrupts the App or our services

4. Subscriptions and Billing (Nova X)

Nova X may be offered as a subscription. Payments and subscription management are handled by our payment provider (currently Lemon Squeezy). Your purchase may be subject to the provider’s terms and policies.

• Prices are displayed before purchase and may include taxes depending on your location and payment method.
• Your subscription renews automatically unless you cancel before the end of the current billing period.
• You can manage or cancel your subscription using the link in your purchase confirmation email or inside the App (when available).

5. Your Content and Local Data

You retain all rights to the content you create in Nova (your grids, cards, notes, links, and other data) ("User Content"). We do not claim ownership of your User Content.

You are responsible for your User Content and for ensuring you have the right to use any materials you add to Nova. You are also responsible for maintaining backups. Features like iCloud sync (if enabled) are provided by third parties and may fail or be unavailable.

6. iCloud Sync (Nova X)

If you enable iCloud sync, your data is stored in your personal iCloud account and is governed by Apple’s terms and policies. We are not responsible for data loss or service interruptions caused by iCloud or Apple services.

7. AI Features (Nova X)

Nova X may include features that connect to third-party AI providers (for example OpenAI, Anthropic, Google, or xAI) using API keys that you supply.

• You must provide and manage your own API keys and are responsible for all costs charged by the AI provider.
• You must comply with the AI provider’s terms, policies, and usage restrictions.
• AI outputs can be incorrect or inappropriate; you are responsible for reviewing and verifying outputs before relying on them.

8. Website Cards (Nova X)

Website cards may fetch or display content from URLs you provide. You agree that you will only monitor websites you are allowed to access and that you will comply with the applicable website terms, robots rules, and laws.

You are responsible for how you use this feature (including request frequency and compliance). We may restrict or disable website card functionality for some URLs or users to protect the App, third parties, or to comply with legal requirements.

9. Acceptable Use

You agree not to use Nova to:

• Violate any law, regulation, or third-party rights
• Transmit malware, interfere with networks, or attempt to bypass security
• Use Nova as part of a service bureau or to provide the App’s functionality to third parties without our written permission
• Abuse subscription features, access controls, or licensing limitations

10. Intellectual Property

The App and its design, code, graphics, and branding are owned by Lightmode and protected by intellectual property laws. These Terms do not grant you any rights in our trademarks or branding.

11. Privacy

Your use of Nova is also governed by our Privacy Policy. Please read it to understand how information is handled.

12. Changes, Availability, and Support

We may change, suspend, or discontinue the App (or any part of it) at any time, including features and supported integrations. We may provide support, updates, or fixes, but we are not obligated to do so.

13. Disclaimer of Warranties

Nova is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

14. Limitation of Liability

To the maximum extent permitted by law, Lightmode’s total aggregate liability arising out of or relating to the App or these Terms will not exceed the total amounts paid by you (if any) for Nova X during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Lightmode from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the App, (b) your User Content, or (c) your violation of these Terms or any third-party rights.

16. Termination

You may stop using the App at any time. We may suspend or terminate your access to the App if you violate these Terms or if we are required to do so for legal or security reasons. Termination does not affect provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification).

17. Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles.

18. Miscellaneous

• Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and Lightmode regarding the App.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver. Failure to enforce any provision is not a waiver of that provision.
• Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or asset sale.
